112th Annual General Meeting of the Alberta Medical Association (CMA Alberta Division)

September 16, 2017

1. The 112th Annual General Meeting of the Alberta Medical Association (CMA Alberta Division) was held on September 16, 2017, in the Grand Ballroom, Double Tree by Hilton, Edmonton, Alberta.

2. O Canada was sung.

3. Call to Order

Dr. Fredrykka D. Rinaldi presided as speaker and declared the 112th AGM in session and duly constituted at 10 a.m.

4. Resolutions Committee

The Resolutions Committee appointed for the Representative Forum served as the Resolutions Committee for the AGM. Appointees were Dr. Daniel R. Ryan, Deputy Speaker, as chair, and RF Planning Group members Dr. Sarah A. Hall, Dr. Arlie J. Fawcett and Dr. Sharron L. Spicer.

5. Rules of Conduct

The speaker noted that business meetings of the association are conducted in accordance with Robert’s Rules of Order.

6. In Memoriam

Fourty-nine members passed away since the last AGM. Dr. Rinaldi read their names into the record followed by a minute of silence.

7. President’s Valedictory

The outgoing president, Dr. Padraic E. Carr, reflected on his term as president and on its challenges and accomplishments. He thanked the directorate for its support during his term.

8. Minutes, Meeting of September 24, 2016

By formal motion, minutes of the AGM of September 24, 2016, were accepted for information.

9. Report from the Committee on Constitution and Bylaws

Dr. Daniel R. Ryan, Chair, Committee on Constitution and Bylaws, presented the report from the committee.

MOTION: Moved by Dr. Daniel R. Ryan and seconded:

THAT proposed amendments to the Constitution and Bylaws outlined in the 2016-17 Annual Reports be authorized as approved.

"CARRIED"

MOTION: Moved by Dr. Daniel R. Ryan and seconded:

THAT the existing bylaws of the association be rescinded in their entirety and the bylaws as amended by resolution passed at this Annual General Meeting held on September 16, 2017, be adopted.

10. Reports from the Nominating Committee

2017 CMA General Council

Dr. Carl W. Nohr, Chair, Nominating Committee, presented the report and the list of nominees.

MOTION: Moved by Dr. Carl W. Nohr and seconded:

THAT the following Nominating Committee nominees for representatives to CMA General Council 2018 be approved: (AMA President attends by virtue of position)

  • President-elect
  • Immediate Past President
  • Speaker or Deputy Speaker
  • Ten representatives to be named by the board
  • Ten representatives to be named by the Nominating Committee
  • Two physician appointees of the college, at least one of whom must be an elected member of the Council
  • One dean or designate
  • Two student representatives
  • Two PARA representatives

Nominating Committee Members Elected by the Annual General Meeting

By due process the following were elected as members of the Nominating Committee:

Elected to two-year terms (2017-19)

  • Dr. E. Sandra Corbett
  • Dr. Ann R. Vaidya

Elected to one-year term as alternate (2017-18)

  • Dr. Alayne M. Farries

Election of Speaker and Deputy Speaker

(To avoid any conflict of interest, President-elect Dr. Neil D.J. Cooper conducted the election for speaker and deputy speaker.) The meeting was informed that there were four nominees for the position of speaker and deputy speaker:

  • Dr. Susan J. Hutchison
  • Dr. Carl W. Nohr
  • Dr. Fredrykka D. Rinaldi
  • Dr. Daniel R. Ryan

Each candidate presented a two-minute platform to the meeting.

By due process Dr. Carl W. Nohr was elected as AMA Speaker for 2017-18.

By due process Dr. Fredrykka D. Rinaldi was elected as AMA Deputy Speaker for 2017-18.

11. Report from the Representative Forum

Dr. Cooper highlighted the issues addressed in the written report circulated to members.

MOTION: Moved by Dr. Neil D.J. Cooper and seconded:

THAT the report from the RF be accepted.

12. MD Management

A joint presentation was given by John Feeley, Vice-President, Member Relevance, CMA; Lowell Thiesson, Wealth Management Lead, MD Management; and Cameron Plitt, Chief Financial Officer, AMA, on the federal taxation proposals for professional corporations. An update was provided on the ongoing advocacy from CMA, AMA and MD Management on this issue.

13. Report from the Committee on Financial Audit

Dr. Lowell Van Zuiden, Chair, Committee on Financial Audit, presented the report from the committee.

MOTION: Moved by Dr. Lowell J. Van Zuiden and seconded:

THAT the Auditor’s Report and the audited Financial Statements for the Alberta Medical Association for the year ended September 30, 2016, be received for information.

MOTION: Moved by Dr. Lowell J. Van Zuiden and seconded:

THAT the firm of PricewaterhouseCoopers be reappointed as auditors for the Alberta Medical Association for the 2017-18 fiscal year.

14. Acknowledgments

MOTION: Moved by Dr. Neil D.J. Cooper and seconded:

THAT the profession express its sincere appreciation to Dr. Padriac Carr, for his service, sacrifice, and dedication to the profession over the past year.

THAT the Annual General Meeting express its sincere appreciation to the Senior Management Team and staff for their dedication to the pursuit of the goals of the association.

THAT the association express its sincere appreciation to Dr. Fredrykka Rinaldi and Dr. Daniel Ryan for their conduct of this meeting.

THAT the Annual General Meeting express its sincere appreciation to the staff, administrative staff and the events team for their dedication and support to ensure the successful operation of this meeting.

15. Installation of Officers

Dr. Neil D.J. Cooper was installed as AMA president for 2017-18 by CMA President Dr. Laurent Marcoux at the CMA President’s Luncheon held following the AGM.

16. Adjournment

There being no other business, the speaker adjourned the formal business session of the 112th Annual General Meeting at 11 a.m.

17. Alberta Medical Foundation – Margaret F. Hutton Lecture Series

Following the annual meeting, delegates participated in the Margaret Hutton Lecture Series (Alberta Medical Foundation History of Medicine presentations).

Dr. Amy Samson, Director, Alberta Medical Foundation, introduced the presentations on the following topics:
